GENERAL TERMS OF SALES
* Import license guaranteed by the purchaser. Final shipping weight and quality.
* All claims on quantity or quality shall be only admissible withing 3 days of the date of delivery to the port of destination (according to incoterms 2000 CAF or C&F). The receiver must make reservations in writing against the shipping company and the stevedore, and have a damage report in the presence of all parties drawn up by the average agent appointed by the insurance company.
* Retention of title: The vendor retains ownership of the goods sold until full payment of invoices for the principal and accessories, although the transfer of risk takes place when FOB delivery of goods is arranged (Law 80.335 of 12 May 1980.
* Failure to pay by due date: in accordance with Article L.441-6 of the Commercial Code, late payment penalities at the rate of 20% and a payment of €40 for recovery costs shall be due automatically and without prior notice, if settlement has not been made on the date following the payment date indicated on the invoice. In the event of early payment, a discount of 3.5% per annum will be granted.
*Terms and Conditions of sale, Force majeure, applicable Laws and jurisdiction clause: Any dispute relating to this sale even in the case of warranty recourse or several defendants, shall be the exclusive jurisdiction of the Commercial Court of Paris – France.
The attention of the purchaser is drawn to this jurisdiction clause.
